POINT FUNDING, LLC (“ CPF ”) and The Bank of New York Mellon Trust Company, N.A., as trustee (in such capacity, the “ Trustee ”),

Series 2010-

1 Agent and Securities Intermediary, to the Amended and Restated Base Indenture, dated as of March 9, 2010, between CPF and the

Trustee. Capitalized terms used herein and not defined herein have the meanings set forth in the Series 2010-1 Supplement.
