Section 13.9 . Payment on Business Day .
Unless otherwise specified in the Series Supplement for any Series of Notes, in any case where any Distribution Date, redemption
date or maturity date of any Note shall not be a Business Day, then (notwithstanding any other provision of this Base Indenture) payment of
interest or principal (and premium, if any), as the case may be, need not be made on such date but may be made on the next succeeding Business
Day with the same force and effect as if made on the Distribution Date, redemption date, or maturity date; provided , however , that no interest
shall accrue for the period from and after such Distribution Date, redemption date, or maturity date, as the case may be to and including such
next succeeding Business Day.
Section 13.10. Governing Law .
THIS INDENTURE SHALL BE GOVERNED BY, AND CONSTRUED AND INTERPRETED IN ACCORDANCE WITH,
THE LAWS OF THE STATE OF NEW YORK.
Section 13.11. No Adverse Interpretation of Other Agreements .
This Indenture may not be used to interpret another indenture, loan or debt agreement of CPF or an Affiliate of CPF. Any such
indenture, loan or debt agreement may not be used to interpret this Indenture.
Section 13.12. Successors .
All agreements of CPF in this Indenture and the Notes shall bind its successor; provided , however , CPF may not assign its
obligations or rights under this Base Indenture or any Applicable Related Document. All agreements of the Trustee in this Indenture shall bind
its successor.
Section 13.13. Severability.
In case any provision in this Indenture or in the Notes shall be invalid, illegal or unenforceable, the validity, legality and
enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
