fiduciary duty to CPF or a contractual duty to CPF; or (iv) is allowed to be treated as non-confidential by consent of CPF.
(c) Notwithstanding any provisions of this Base Indenture or the Series Supplement for any Series of Notes requiring the delivery of
any report or information to the Trustee or any Note Owner, to the extent CPF or any of its Affiliates conclude, based upon the advice of
counsel, that any such Person has not expressly agreed to maintain the disclosed report or information in confidence or that providing any such
report or information to such Person would otherwise require public disclosure of such report or information, CPF shall not be required to
delivery such report or information to such Person.
In no event, however, shall the Trustee be liable for any Losses suffered or sustained by any Person by reason of the failure of CPF to
deliver such report or information. CPF shall indemnify and hold harmless the Trustee or any predecessor Trustee and their respective directors,
officers, agents and employees from and against any Losses suffered or sustained by any Person by reason of the failure of CPF to deliver such
report or information. The term “Losses” as used in this Section 13.20(c) shall have the definition assigned to such term in Section 10.11.
