Reference is made to the Second Amended and Restated Series 2006-1 Supplement, dated as of December 3, 2010 (the “ Series
2006-1 Supplement ”), among CENTRE POINT FUNDING, LLC (“ CPF ”), Budget Truck Rental LLC, as Administrator, Deutsche Bank
Securities, Inc., as Administrative Agent, the CP Conduit Purchasers, the APA Banks and the Funding Agents named therein and The Bank of
New York Mellon Trust Company, N.A., as trustee (the
“ Trustee ”) and Series 2006-1 Agent, to the Amended and Restated Base Indenture,
dated as of March 9, 2010, between CPF and the Trustee. Capitalized terms used herein and not defined herein have the meanings set forth in the
Series 2006-1 Supplement.
Pursuant to Section 5.5[(c)(iii)][(d)(ii)] of the Series 2006-1 Supplement, the Trustee under the Series 2006-1 Supplement hereby
