The excess of the purchase price over the net tangible and intangible assets acquired was recorded as goodwill. The Company recorded purchase
accounting adjustments to increase the carrying value of property, to establish intangible assets for trade names, service marks and trademarks ("trade
names"), customer relationships, franchise agreements, backlog and lease commitments, among other things, as well as to reduce to fair value deferred
revenue and deferred customer acquisition costs.
