The amounts in this column reflect the aggregate grant date fair value of stock options granted during the specified years. The assumptions used in the valuation of
awards are disclosed in the Stock-Based Compensation footnote to the audited financial statements for the fiscal year ended December 31, 2009 included in this
Annual Report on Form 10-K.
Amounts in this column for 2009 are detailed in the "All Other Compensation (2009)" table below.
The SEC recently revised the executive compensation rules to require companies to account for stock option awards based on the grant date fair value of such
awards. As discussed above in "Long-Term Incentive Plans—MSIP", Holdings' practice to date has been to offer each Named Executive Officer only one
opportunity to invest in Holdings' common stock and to receive options, and for many of our executives that opportunity was shortly after the Merger in 2007.
Because Mr. Crenshaw received a stock option award in 2009 related to his hiring in 2008, his total compensation made him one of our Named Executive Officers.
Based on performance under the terms of the Annual Bonus Plan, Mr. Donly would have earned $56,917; however, in accordance with Mr. Donly's offer of
employment, his 2009 bonus was guaranteed to be not less than 65 percent of his 2009 annualized salary, then prorated based on his hire date, which equals
$214,945.
