from 1993 to 1998, he was a commissioner of
the California Public Utilities Commission.
Mr. Knight also serves on the boards of Alaska
Airlines and the San Diego Padres Baseball Club.
He is a standing member of the Council on
Foreign Relations.
J. Kenneth Thompson
Director since 1999
Age – 56
Mr. Thompson serves on the Board’s
Governance and Nominating Committee and its
Safety Committee. He has been appointed to
succeed Mr. Wien as chair of the Board’s Safety
Committee on May 20, 2008. Mr. Thompson
served as Executive Vice President of ARCO’s
Asia Pacific oil and gas operating companies in
Alaska, California, Indonesia, China and
Singapore from 1998 to 2000. Prior to that, he
was President of ARCO Alaska, Inc., the parent
company’s oil and gas producing division based
in Anchorage, Alaska. Mr. Thompson is currently
President and CEO of Pacific Star Energy LLC, a
private energy investment company in Alaska,
with partial ownership in the oil exploration firm
Alaska Venture Capital Group (AVCG LLC) where
he serves as the Managing Director. In 2007,
Mr. Thompson was appointed to the board of
Tetra Tech. He also serves on the boards of
Horizon Air, Coeur d’Alene Mines Corporation,
and serves on a number of community service
organizations.
Vote Required and Recommendation of the
Board of Directors
As indicated above, the Company has
received a notice from Mr. Nieman, a
stockholder of the Company, for the nomination
of six individuals, including himself, to the Board
of Directors at the 2008 Annual Meeting.
Mr. Nieman has filed proxy materials with the
SEC in connection with his solicitation of proxies
for those nominees. If Mr. Nieman properly
brings his nominations before the meeting, the
number of nominees will exceed the number of
directors to be elected and, in accordance with
the majority voting standard set forth in the
Company’s Bylaws, the directors will be elected
by a plurality vote. This means that the six
persons receiving the highest number of “for”
votes at the Annual Meeting will be elected. This
voting standard for the election of directors is
discussed further under the section entitled
“Questions and Answers — How many votes
must the nominees have to be elected?” above.
THE BOARD OF DIRECTORS RECOMMENDS
THAT YOU VOTE FOR THE ELECTION OF THE
SIX NOMINEES NAMED ABOVE AS DIRECTORS.
UNLESS OTHERWISE INDICATED ON YOUR
PROXY, THE SHARES WILL BE VOTED FOR THE
ELECTION OF THESE SIX NOMINEES AS
DIRECTORS.
