On December 10, 2008, ACE announced its intention to seek court and shareholder approvals for a plan of arrangement,
pursuant to which it will proceed with a liquidation and its net assets, including its shares in Air Canada, will be distributed,
in an orderly fashion, after providing for outstanding liabilities and costs of the transaction. As announced by ACE on
January 21, 2009, subject to court and regulatory approvals, the special meeting of shareholders of ACE, initially scheduled
for February 27, 2009, has been postponed to April 7, 2009.
