2014 consolidated financial statements certification pursuant to Article 81 ter of CONSOB
Regulation No. 11971 dated 14 May 1999 and subsequent amendments and additions
The undersigned, Renato Soru in his capacity as Chief Executive Officer, and Pasquale Lionetti, in his
capacity as Executive appointed to draw up the corporate accounting documents of Tiscali S.p.A.,
hereby certify, also taking into account the provisions of Article 154 bis (3 and 4), of Italian Legislative
Decree No. 58 dated 24 February 1998:
the adequacy in relation to the Company’s characteristics;
the effective application of the administrative and accounting procedures for the
formation of the financial statements during 2014.
It is also hereby certified that the financial statements at 31 December 2014:
were prepared in compliance with the International Financial Reporting Standards
(IFRS) adopted by the European Union as well as the legislative and regulatory
provisions in force in Italy;
are consistent with the results of accounting books and entries;
are suitable for providing a true and fair view of the equity, economic and financial
situation of the issuer and all the companies included in the consolidation area.
In conclusion, it is hereby certified that the Report on operations includes a reliable analysis of the
references to important events which have taken place during the year and their effect on the
consolidated financial statements, together with a description of the main risks and uncertainties.
