Voting securities
As of February 17, 2015, 1,047,142,301 shares of TI common stock were outstanding. This is the only class of capital stock entitled
to vote at the meeting. Each holder of common stock has one vote for each share held. As stated in the notice of annual meeting,
holders of record of the common stock at the close of business on February 17, 2015, may vote at the meeting or any adjournment of
the meeting.
