Employee at any time. The adoption of the Plan shall not be deemed to give any Employee or any other individual any right to be
selected as a Participant or to be granted an Award.
13.6 Awards Subject to Foreign Laws. The Committee may grant Awards to individual Participants who are subject to the tax
and/or other laws of nations other than the United States, and such Awards may have terms and conditions as determined by the
Committee as necessary to comply with applicable foreign laws. The Committee may take any action that it deems advisable to
obtain approval of such Awards by the appropriate foreign governmental entity; provided, however, that no such Awards may be
granted pursuant to this Section 13.4 and no action may be taken which would result in a violation of the Exchange Act or any
other applicable law.
13.7 Governing Law. The Plan, all Awards granted hereunder, and all actions taken in connection herewith shall be governed by
and construed in accordance with the laws of the State of Michigan without reference to principles of conflict of laws, except as
superseded by applicable federal law.
