Vote Required for Approval
The affirmative vote of the holders of a majority of the shares of Waste Management Common Stock
present or represented by proxy and entitled to vote at the meeting is required for approval of the amendment to
the ESPP, provided, however, under the rules of the New York Stock Exchange, votes representing more than
50% of the outstanding shares of Common Stock must be cast on the proposal. Broker non-votes are not
considered votes for this purpose.
