However, in the event of your termination of employment by the Company without Cause, by you for Good Reason following
a Change of Control or due to your death, Disability or Retirement (as those terms are defined in the Agreement), the Period

Acceptance:
If you do not want to accept your Restricted Stock Units award, please complete the on-line form ("Accept or Reject Your
Grant") as promptly as possible, but, in any case, within thirty (30) days after the Grant Date, to reject your Restricted Stock
Units award. If you do not reject your award within thirty (30) days after the Grant Date, you will have accepted your
Restricted Stock Units award and agreed to the terms and conditions set forth in this Agreement and the terms and conditions
