MANAGEMENT'S REPORT
Management's Report on the Consolidated Financial Statements
Management is responsible for the preparation, integrity and objectivity of the accompanying consolidated financial statements and related financial information.
The consolidated financial statements have been prepared in accordance with accounting principles generally accepted in the United States and necessarily include
certain amounts that are based on estimates and informed judgments. Our management also prepared the related financial information included in this Annual
Report on Form 10-K and is responsible for its accuracy and consistency with the consolidated financial statements.
Management's Report on Internal Control Over Financial Reporting
Management is responsible for establishing and maintaining adequate internal control over financial reporting, as such term is defined in Exchange Act Rules 13a-
15(f). Internal control over financial reporting is a process designed to provide reasonable assurance regarding the reliability of financial reporting and the
preparation of the financial statements for external purposes in accordance with generally accepted accounting principles in the United States of America. Because
of its inherent limitations, internal control over financial reporting may not prevent or detect misstatements. Also, projections of any evaluation of effectiveness to
future periods are subject to the risk that controls may become inadequate because of changes in conditions, or that the degree of compliance with the policies or
procedures may deteriorate.
Under the supervision and with the participation of our management, including our chief executive officer and chief financial officer, we assessed the effectiveness
of our internal control over financial reporting as of December 30, 2015, based on the framework in Internal Control—Integrated Framework (2013), issued by the
Committee of Sponsoring Organizations of the Treadway Commission (2013 framework). Based on the results of our evaluation, management concluded that our
internal control over financial reporting was effective as of December 30, 2015.
Ernst & Young LLP, our independent registered public accounting firm, has audited the Consolidated Financial Statements as of December 30, 2015, as stated in
their report herein. As we are an "emerging growth company" under the JOBS Act, Ernst & Young LLP is not required to attest to the effectiveness of our internal
control over financial reporting for so long as we are an emerging growth company.
