DIRECTORCOMPENSATION
Non-Employee Director Compensation Arrangements. TheNominatingCommitteehasprimaryresponsibilityforestablishingnon-employeedirector
compensationarrangements,whichhavebeendesignedtoprovidecompetitivecompensationnecessarytoattractandretainhighqualitynon-employeedirectors
andtoencourageownershipofCompanystocktofurtheraligntheinterestsofourdirectorswiththoseofourstockholders.Arrangementsineffectduring2015
providedthat:(i)eachmemberoftheBoardreceiveanannualretainerintheamountof$50,000,(ii)eachmemberoftheAuditandCompensationandHuman
ResourcesCommittees(includingtheirrespectiveChairpersons)receiveanadditionalannualretainerintheamountof$10,000and$5,000,respectively,and
(iii)theChairpersonsofeachoftheAuditandCompensationandHumanResourcesCommitteesreceiveanadditionalannualchairpersonretainerintheamountof
$20,000,withallamountsbeingpaidquarterly,inarrears.
Inaddition,thesearrangementsalsoprovidethateachnon-employeedirectorreceiveagrantofRSUswithadollarvalueof$250,000uponhisorher
initialelectiontotheBoardandannuallythereafteruponre-electiononthedateofIAC’sannualmeetingofstockholders,thetermsofwhichprovidefor:(i)vesting
inthreeequalannualinstallmentscommencingonthefirstanniversaryofthegrantdate,(ii)cancellationandforfeitureofunvestedRSUsintheirentiretyupon
terminationofserviceforIACanditsaffiliatesand(iii)fullaccelerationofvestinguponachangeincontrolofIAC.TheCompanyalsoreimbursesnon-employee
directorsforallreasonableexpensesincurredinconnectionwithattendanceatIACBoardandBoardcommitteemeetings.
Deferred Compensation Plan for Non-Employee Directors. UnderIAC’sDeferredCompensationPlanforNon-EmployeeDirectors,non-employee
directorsmaydeferalloraportionoftheirBoardandBoardcommitteefees.Eligibledirectorswhodeferalloranyportionofthesefeescanelecttohavesuch
deferredfeesappliedtothepurchaseofshareunits,representingthenumberofsharesofIACcommonstockthatcouldhavebeenpurchasedontherelevantdate,
orcreditedtoacashfund.IfanydividendsarepaidonIACcommonstock,dividendequivalentswillbecreditedontheshareunits.Thecashfundwillbecredited
withdeemedinterestatanannualrateequaltotheweightedaverageprimelendingrateofJPMorganChaseBank.Afteradirectorceasestobeamemberofthe
Board,heorshewillreceive:(i)withrespecttoshareunits,suchnumberofsharesofIACcommonstockastheshareunitsrepresent,and(ii)withrespecttothe
cashfund,acashpaymentinanamountequaltodeferredamounts,plusaccruedinterest.Thesepaymentsaregenerallymadeinaonelumpsuminstallmentafter
therelevantdirectorleavestheBoardandotherwiseinaccordancewiththeplan.

during2015and(ii)thegrantdatefairvalueofRSUawardsgrantedin2015.
