regardingairplanetravelunderCompensationDiscussionandAnalysisonpage13.WecalculatetheincrementalcosttotheCompanyforpersonaluseofCompany
aircraftbasedontheaveragevariableoperatingcoststotheCompany.Variableoperatingcostsincludefuel,certainmaintenancecosts,navigationfees,on-board
catering,landingfees,crewtravelexpensesandothermiscellaneousvariablecosts.Thetotalannualvariablecostsaredividedbytheannualnumberofmilesthe
Companyaircraftflewtoderiveanaveragevariablecostpermile.Thisaveragevariablecostpermileisthenmultipliedbythemilesflownforpersonaluse.
Incrementalcostsdonotincludefixedcoststhatdonotchangebasedonusage,suchaspilots’salaries,thepurchasecostsofCompany-ownedaircraft,insurance,
scheduledmaintenanceandnon-triprelatedhangarexpenses.Messrs.DillerandLevinoccasionallyhadfamilymembersorotherguestsaccompanythemonbusiness
andpersonaltrips.WhiletravelbyfamilymembersorotherguestsdoesnotresultinanyincrementalcosttotheCompany,suchtraveldoesresultintheimputationof
taxableincometoMessrs.DillerandLevin,theamountofwhichiscalculatedinaccordancewithapplicableIRSregulations.
(b)RepresentsthetotalamountofotherbenefitsprovidedtoMr.Diller,noneofwhichindividuallyexceeded10%ofthetotalvalueofallperquisitesandpersonal
benefits.Thetotalamountofotherbenefitsprovidedreflects:(i)leasepayments,parking,fuel,maintenanceandothercostsassociatedwithMr.Diller’spersonaluse
ofanautomobileleasedandmaintainedbyIACandacashcarallowance,(ii)anallocation(basedonsquarefootage)ofcostsfortheuseofIACofficespaceby
certainindividualswhoworkforMr.Dillerpersonally,(iii)anallocation(basedonthenumberofpersonalcomputersandcommunicationdevicessupportedbyIAC)
ofcostsrelatingtotheusebysuchindividualsoftheCompany’sITtechnicalsupportandcertaincommunicationsequipmentand(iv)costsincurredforMr.Diller’s
personaluseofothercarservices.
(4)InconnectionwiththegrantofIACstockoptionstoMr.LevinatthetimehewasappointedChiefExecutiveOfficerofIACinJune2015,Mr.Levinsurrenderedequityawardstied
solelytothevalueofIAC’sSearchbusiness.
