The weighted average price of employee restricted stock shares, restricted stock units, and performance shares is based on the
quoted fair value of the Company’s Common Stock on the date of grant. The weighted average price of non-employee restricted
stock shares is based on the Company’s Common Stock price at the balance sheet date.
Compensation cost of awards is based on the price for each award and is recorded as expense over the vesting period which is
typically three years. The compensation expense recognized for employee and non-employee restricted stock shares was $33
million and $34 million for the years ended December 31, 2005 and 2004, respectively. The compensation expense recognized for
employee and non-employee restricted stock units and performance shares combined was $46 million and $18 million for the years
ended December 31, 2005 and 2004, respectively.
