Dividends
We have never declared or paid any cash dividends on our common stock. We currently intend to invest all future
earnings into the operation and expansion of our business and do not anticipate declaring or paying any cash
dividends on our common stock in the foreseeable future. In addition, the terms of our revolving credit facility limits
the amount of dividends we may pay without the consent of the lenders. The payment of any dividends in the future
will be at the discretion of our board of directors and will depend upon our results of operations, earnings, capital
requirements, contractual restrictions, outstanding indebtedness and other factors deemed relevant by our board.

(1) In June 2006, our Board of Directors authorized the repurchase of 500,000 shares of our common stock
from time to time in the open market or otherwise for the primary purpose of offsetting the dilutive effect
of shares issued pursuant to our Employee Stock Purchase Plan. From June 2006 through December 2011,
we have repurchased 185,330 shares. In August 2011, our Board of Directors authorized the repurchase of
up to $60 million of our outstanding common stock from time to time through the open market or privately
negotiated transactions. The authorization to repurchase shares terminates when the aggregate repurchase
amount totals $60 million or at the close of business on August 17, 2013, whichever comes earlier. As of
December 31, 2011, no shares have been repurchased under this program.
