end of 2006 for the 2001-2003 performance cycle, which equals the second installment of the awards the
Compensation Committee determined performance for in January 2004. As described in “Compensation Discussion
and Analysis,” the Board determined in February 2007 not to pay any of these shares.

Committee had determined that we met threshold performance levels with respect to financial and qualitative goals
