We are a party to various legal proceedings that are ordinary and incidental to our business. Management does not expect that any currently
pending legal proceedings will have a material adverse effect on our results of operations or financial position.

The last reported sale price of our common stock on the Nasdaq Global Market on January 30, 2009 was $7.53 per share.
Holders
There were approximately 1,804 holders of record of our common stock on January 30, 2009.
Dividends
We have never declared or paid cash dividends on our common stock. Our Board of Directors will determine our future dividend policy.
Any decision to declare future dividends will be made at the discretion of the Board of Directors and will depend on, among other things, our
results of operations, financial condition, cash requirements, investment opportunities and other factors the Board of Directors may deem
relevant.
