13.13
Applicable Law . The Agreement will be interpreted, construed and enforced in all respects in accordance with the laws of the
State of New York, except for its conflicts of laws principles. The sole venue for any and all actions brought by one Party against the other under
or arising out of the Agreement shall be as follows: (a) all actions brought by EarthLink against TWC shall be brought in the appropriate state or
federal court having jurisdiction in New York City, New York; and (b) all actions brought by TWC or a TWC Division against EarthLink shall
be brought in the appropriate state or federal court having jurisdiction in Atlanta, Georgia. The Parties hereby consent to the personal jurisdiction
of such courts.
13.14
Export Controls . Both Parties will adhere to all applicable laws, regulations and rules relating to the export of technical data
and will not export or re-export any technical data, any products received from the other Party or the direct product of such technical data to any
proscribed country listed in such applicable laws, regulations and rules unless properly authorized.
13.15
Headings . The captions and headings used in the Agreement are inserted for convenience only and will not affect the meaning
or interpretation of the Agreement.
13.16
Counterparts . The Agreement may be executed in counterparts each of which will be deemed an original and all of which
together will constitute one and the same document.
