NOTE16–RELATEDPARTYTRANSACTIONS
Infiscalyear2005,CreativeprocuredadvertisementproductionservicesfromacompanyinwhichCreative’sCEOandChairman,Sim
WongHoo,isdeemedtohaveasubstantialinterest.TheservicesprovidedtoCreativefortheyearamountedto$175,000andwere
negotiatedundernormalcommercialterms.Infiscalyear2006,SimWongHoohasreducedhisdeemedinterestinthatcompany
andisnolongerdeemedtohaveasubstantialinterestinthatcompany.
InJanuary2003,acompanycontrolledbyadirector,NgKaiWa,enteredintoarentalagreementwithasubsidiaryofCreative,which
waspriortoNgKaiWa’sappointmentasadirectorofCreativeinJune2005.Therentalagreementexpiredduringfiscalyear2006
andthecompanyhasmovedoutofCreative’spremisesinApril2006.TherentalreceivedbyCreativewas$189,000infiscalyear
2005and$150,000infiscalyear2006.
NOTE17–SHARECAPITAL
EffectiveJanuary30,2006,CreativewassubjectedtotheamendmentspromulgatedundertheCompanies(Amendment)Act2005of
Singapore.Theseamendmentsincludedtheabolitionoftheordinaryshareparvalueandauthorizedcapital.Therelevantamendments
haveresultedinallordinarysharesbeingrecordedwithnoparvalue.Theamendmentsdonotaffecttheactualnumberofordinary
sharesissuedandthepaid-incapitalofCreative.Asaresultoftheabolitionoftheordinaryshareparvalue,asignificantportionof
theadditionalpaid-incapitalamountingto$290.2millionbecamepartofthesharecapitalaccountasatJune30,2006andincreased
thesharecapitalaccountonthatdateto$298.5million.Theremainingbalanceof$52.3millionintheadditionalpaid-incapitalwere
classifiedasotherreserveswhereitcomprisedmainlycompensationexpenseforstockoptions,taxbenefitsrelatingtoexerciseofnon
qualifiedstockoptionsbyUSemployeesandreservesarisingfromthebuyoutofasubsidiary’sconvertiblepreferenceshares.
NOTE18–SUBSEQUENTEVENT
InAugust2006,CreativeandAppleannouncedabroadsettlementendingalllegaldisputesbetweenthetwocompanies.Thesettlement
termsincludedarequirementforAppletopayCreative$100.0millionforapaid-uplicensetouseCreative’sZENPatentinallApple
products.

digitalentertainmentproducts.CreativehasmanufacturingplantsanddistributioncentersinMalaysiaandChina,withtheEuropean
distributioncenterlocatedinDublin,IrelandandtheAmericasdistributioncenterlocatedinMilpitas,California.Creativefocusesits
worldwidesalesandmarketingeffortspredominantlythroughsalesofficesinNorthAmerica,EuropeandtheAsiaPacificregion.
