The aggregate market value of the voting stock held by non-affiliates of the registrant as of June 30, 2011, which is the last business day of the
registrant’s most recently completed second fiscal quarter, was approximately $164,511,601. For purposes of this computation, all executive officers
and directors of the Registrant and all parties to the Stockholders Agreement dated as of June 15, 1995 have been deemed to be affiliates. Such
determination should not be deemed to be an admission that such persons are, in fact, affiliates of the Registrant.
The number of shares outstanding of the registrant’s common stock as of February 29, 2012 was 36,400,723 shares.
