Questions and Answers about the Annual Meeting
Why am I receiving the Annual Meeting
Material?
You are receiving the Annual Meeting Material
from us because you owned Air Group common
stock as of the record date for the Annual
Meeting. This Proxy Statement describes issues
on which you may vote and provides you with
other important information so that you can

You may own shares of Air Group common stock
in several different ways. If your stock is
represented by one or more stock certificates
registered in your name or if you have a Direct

shares held in book entry form, then you have a
stockholder account with the Company’s transfer
agent, Computershare Trust Company, N.A.
(Computershare), and you are a stockholder of
record. If you hold your shares in a brokerage,
trust, or similar account, then you are the

record of those shares. Employees of the
Company’s subsidiaries who hold shares of
stock in one or more of the Company’s 401(k)
retirement plans are beneficial owners.
What am I voting on?
You are being asked to vote on the election of
the 11 director nominees named in this Proxy
Statement, to ratify the appointment of KPMG
LLP as the Company’s independent accountants,
to provide an advisory vote in regard to the
compensation of the Company’s Named
Executive Officers, and to vote on a stockholder
proposal regarding an independent chairman
