(2) During the year ended 31 December 2008, Mr Dermot Mannion was granted conditional awards of 325,370 shares under the
LTIP in respect of the vesting period 1 January 2008 to 31 December 2010, resulting in total holdings of conditional awards under
the LTIP of 571,726 shares. Any vesting of these shares is subject to the achievement of the performance targets outlined in the
LTIP and the rules of the LTIP.
(3) During the year ended 31 December 2008, the Remuneration Committee recommended that an award of 152,709 Aer Lingus
shares be made to Mr Sean Coyle under the 2008 LTIP in respect of the performance periods ending 31 December 2010. Any
vesting of this award is subject to the rules of the LTIP and the achievement of the performance targets outlined in the LTIP and
the rules of the LTIP. This award was granted on 17 April 2009.
