AIG’s common stock, par value $2.50 per share (AIG Common Stock), is listed on the New York Stock Exchange (NYSE: AIG),
as well as on the Tokyo Stock Exchange. There were approximately 29,245 stockholders of record of AIG Common Stock as of
February 11, 2016.
The following table presents high and low closing sale prices of AIG Common Stock on the New York Stock Exchange
Composite Tape for each quarter of 2015 and 2014, and the dividends declared per share during those periods:

DIVIDENDS
On February 11, 2016, our Board of Directors declared a cash dividend on AIG Common Stock of $0.32 per share, payable on
March 28, 2016 to shareholders of record on March 14, 2016.
Any payment of dividends must be approved by AIG’s Board of Directors. In determining whether to pay any dividend, our
Board of Directors may consider AIG’s financial position, the performance of our businesses, our consolidated financial
condition, results of operations and liquidity, available capital, the existence of investment opportunities, and other factors. AIG
may become subject to restrictions on the payment of dividends and purchases of AIG Common Stock as a nonbank SIFI and
a G-SII. See Item 1. Business — Regulation and Item 1A. Risk Factors — Regulation for further discussion.

Our table of equity compensation plans will be included in the definitive proxy statement for AIG’s 2016 Annual Meeting of
Shareholders. The definitive proxy statement will be filed with the SEC no later than 120 days after the end of AIG’s fiscal year
pursuant to Regulation 14A.
