The table of contents, cross-reference sheet and headings of the Articles and Sections of this Indenture have been
inserted for convenience of reference only, are not to be considered a part hereof, and shall in no way modify or restrict any of the
terms or provisions hereof.
Each provision of this Indenture shall be considered separable and if for any reason any provision which is not
essential to the effectuation of the basic purpose of this Indenture or the Notes shall be invalid, illegal or unenforceable, the validity,
legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
The parties hereto acknowledge that in accordance with Section 326 of the USA Patriot Act the Trustee and
Agents, like all financial institutions and in order to help fight the funding of terrorism and money laundering, are required to
obtain, verify, and record information that identifies each person or legal entity that establishes a relationship or opens an account.
The parties to this agreement agree that they shall provide the Trustee and the Agents with such information as they may request in
order to satisfy the requirements of the USA Patriot Act.
The Issuer has agreed to qualify this Indenture under the TIA in accordance with the terms and conditions of the
Registration Rights Agreement and to pay all reasonable costs and expenses (including attorneys’ fees and expenses for the Issuers,
the Trustee and the Holders) incurred in connection therewith to the extent set forth in the Registration Rights Agreement,
including, but not limited to, costs and expenses of qualification of this Indenture and the Notes and printing this Indenture and the
Notes. The Trustee shall be entitled to receive from the Issuer any such Officer
’s Certificates, Opinions of Counsel or other
documentation as it may reasonably request in connection with any such qualification of this Indenture under the TIA.
