Such notices or communications shall be effective when received and shall be sufficiently given if so given within
the time prescribed in this Indenture.
The Issuer, the Guarantors or the Trustee by written notice to the others may designate additional or different
addresses for subsequent notices or communications.
Any notice or communication mailed to a Holder shall be mailed to him by first-class mail, postage prepaid, at his
address shown on the register kept by the Registrar.
Failure to mail a notice or communication to a Holder or any defect in it shall not affect its sufficiency with respect
to other Holders. If a notice or communication to a Holder is mailed in the manner provided above, it shall be deemed duly given,
whether or not the addressee receives it.
In case by reason of the suspension of regular mail service, or by reason of any other cause, it shall be impossible
to mail any notice as required by this Indenture, then such method of notification as shall be made with the approval of the Trustee
shall constitute a sufficient mailing of such notice.
Holders may communicate pursuant to TIA § 312(b) with other Holders with respect to their rights under this
Indenture or the Notes. The Issuer, the Guarantors, the Trustee, the Registrar and anyone else shall have the protection of TIA § 312
(c).
Upon any request or application by the Issuer or any Guarantor to the Trustee to take any action or refrain from
taking any action under this Indenture, the Issuer or such Guarantor shall furnish to the Trustee:
(1)
an Officer’s Certificate in form and substance reasonably satisfactory to the Trustee (which shall
include the statements set forth in Section 11.05) stating that, in the opinion of the signers, all conditions precedent, if any,
provided for in this Indenture relating to the proposed action have been complied with; and
