Recommendation of the Board of Directors
The Board believes that it is in the Company’s best interests to continue to provide its employees with
the opportunity to acquire an ownership interest in the Company through their participation in the 2005
Purchase Plans and thereby encourage them to remain in the Company’s employ and more closely align
their interests with those of the stockholders.
The Board believes that Proposal No. 2 is in the Company’s best interests and the best interests of its
stockholders and unanimously recommends a vote FOR the approval of the amendment to the 2005
Purchase Plans.
