Unregistered Sales of Equity Securities
The Company’s U.S. employees are eligible to participate in the Western Digital Corporation 401(k) Plan (the
“401(k) Plan”) through which the participants may invest in the Company’s common stock through a common stock
fund. The Company’s common stock held in the stock fund is purchased in open market transactions by the plan
trustee. We recently discovered that we exceeded the number of shares that we had registered for offers and sales under
the 401(k) Plan and, therefore, failed to maintain an effective SEC registration statement for the 401(k) Plan. As a
result, certain purchasers of common stock through the common stock fund under the 401(k) Plan may have the right
to rescind their purchases. The potential rescission rights are immaterial to the Company’s consolidated financial
statements. On August 1, 2013, the Company filed a new registration statement on Form S-8 to register offers and
sales of shares under the 401(k) Plan after such date.
