Item 14. Controls and Procedures
(a) Evaluation of Disclosure Controls and Procedures. The Company’s chief executive officer and chief
financial officer, after reviewing and evaluating the effectiveness of the Company’s “disclosure controls and
procedures” (as defined in the Securities Exchange Act of 1934 Rules 13a-14(c) and 15-d-14(c)) as of a date
within 90 days before the filing date of this annual report (the “Evaluation Date”), have concluded that as of the
Evaluation Date, the Company’s disclosure controls and procedures were adequate and designed to timely
provide them with material information relating to the Company required to be disclosed in the reports the
Company files or submits under the Securities Exchange Act.
(b) Changes in Internal Controls. There have not been any significant changes in the Company’s internal
controls or in other factors that could significantly affect these controls subsequent to the Evaluation Date. There
were no significant deficiencies or material weakness, and therefore no corrective actions were taken.
