Announcements by satellite television operators, cable television operators, major content providers or others regarding CE business or pay TV
operator combinations, evolving industry standards, consumer rights activists' wins in government regulations or the courts, motion picture production
or distribution or other developments could cause the market price of our common stock to fluctuate.
There can be no assurance that our historic trading prices, or those of technology companies in general, will be sustained. In the past, following
periods of volatility in the market price of a company's securities, some companies have been named in class action suits.
Further, economic uncertainty may adversely affect the global financial markets, which could cause the market price of our common stock to
fluctuate.
We utilize non

GAAP reporting in our quarterly earnings press releases.
As part of our quarterly earnings press releases, we publish measures compiled in accordance with accounting principles generally accepted in the
U.S. (

)
as well as non

GAAP financial measures along with a reconciliation between the GAAP and non

GAAP financial measures. The reconciling
items have adjusted GAAP net income and GAAP earnings per share for certain non

recurring items and are described in detail
in each such quarterly earnings press release. We believe that this presentation may be more meaningful to investors in analyzing the results of operations
and income generation as this is how our business is managed. The market price of our stock may fluctuate based on future non

GAAP results if investors
base their investment decisions on such non

GAAP financial measures. If we decide to curtail use of non

GAAP financial measures in our quarterly
earnings press releases, the market price of our stock could be affected if investors analyze our performance in a different manner.
