the Record Date, such as an account statement or similar evidence of ownership, may be verified prior to
admittance into the Annual Meeting. For proxy holders, proof of valid proxy status may be verified prior to
admittance into the Annual Meeting. Stockholders and proxy holders will be admitted to the Annual Meeting if
they comply with these procedures.
Stockholder Proposals to be Presented at the 2014 Annual Meeting of Stockholders
Proposals of stockholders of the Company that are intended to be presented by such stockholders at the 2014
Annual Meeting of Stockholders must be received by the Company no later than December 27, 2013 in order that
they may be included in the Proxy Statement and form of proxy relating to that meeting. If the stockholder
proposal is to be presented at the 2014 Annual Meeting of Stockholders but is not to be included in the Proxy
Statement, the notice of proposal must be received no earlier than January 13, 2014 and no later than
February 12, 2014 and with such information required by the Company’s Amended and Restated Bylaws (the
“Bylaws”).
