COMPENSATION DISCUSSION AND ANALYSIS
EXECUTIVE SUMMARY
We are an integrated electric utility primarily engaged in the regulated utility business. Our executive
compensation philosophy is designed to provide competitive compensation consistent with key principles that we
believe are critical to our long-term success.
We are committed to providing an executive compensation program that supports the following goals
and philosophies:
• Aligningourmanagementteam’sinterestswithshareholders’expectationsofearningspershare
growth and a competitive dividend yield;
• Effectivelycompensatingourmanagementteamforactualperformanceovertheshortandlongterm;
• Rewardingoperatingperformanceresultsthataresustainableandconsistentwithreliableandefficient
electric service;
• Attractingandretaininganexperiencedandeffectivemanagementteam;
• Motivatingandrewardingourmanagementteamtoproducegrowthandperformanceforour
shareholders that are sustainable and consistent with prudent risk-taking and based on sound corporate
governance practices; and
• Providingmarketcompetitivelevelsoftarget(i.e.,opportunity)compensation.
Highlights of the 2010 executive compensation program are:
• Asthechartbelowindicates,theCompanydeliveredtotalshareholderreturnfor2010andannualized
total shareholder return for the three-years ending December 31, 2010 that were between the median
of the total shareholder returns of the Company’s Benchmarking and PSSP Peer Group as defined on
pages 27 and 34, respectively.
