For information regarding the markets in which Mattel’s common stock, par value $1.00 per share, is
traded, see the cover page hereof. For information regarding the high and low closing prices of the common
stock for the last two calendar years, see Item 8 ‘‘Financial Statements and Supplementary Data—Note 11 to
the Consolidated Financial Statements.’
As of March 22, 2002, Mattel had approximately 49,000 holders of record of its common stock.
Mattel paid dividends on its common stock of $0.08 per share in January and April 1999, and $0.09 per
share in July and October 1999 and January, April, July and October of 2000. As part of its financial
realignment plan, Mattel announced during the third quarter of 2000 a change in its dividend policy consisting
of a reduction in the annual cash dividend from $0.36 per share to $0.05 per share. In 2001, a $0.05 per share
dividend was declared by the board of directors in November and paid in December. The payment of dividends
on common stock is at the discretion of Mattel’s board of directors and is subject to statutory and customary
limitations.
