Directors’ Compensation Plan. A maximum of 1,000,000 shares of the Corporation’s common stock is available
for grant under this plan. The Corporation’s Board of Directors may grant awards in the form of stock, stock
appreciation rights, restricted shares, restricted share units, or any combination of cash, options, stock, stock
appreciation rights, restricted shares or restricted share units under this plan.
