participations or other equivalents (regardless of how designated) of or in a corporation, partnership, limited liability company or equivalent entity, whether
voting or non-voting.
"Stock Equivalents" shall mean all securities convertible into or exchangeable for Stock and all warrants, options or other rights to purchase or
subscribe for any Stock, whether or not presently convertible, exchangeable or exercisable.
"Subordinated Indebtedness" shall mean Indebtedness of the Borrower or any Guarantor that is by its terms subordinated in right of payment to
the obligations of the Borrower and such Guarantor, as applicable, under this Agreement.
"Subsidiary" of any Person shall mean and include (a) any corporation more than 50% of whose Stock of any class or classes having by the
terms thereof ordinary voting power to elect a majority of the directors of such corporation (irrespective of whether or not at the time Stock of any class or
classes of such corporation shall have or might have voting power by reason of the happening of any contingency) is at the time owned by such Person
directly or indirectly through Subsidiaries, (b) any limited liability company, partnership, association, joint venture or other entity of which such Person
directly or indirectly through Subsidiaries has more than a 50% equity interest at the time. Unless otherwise expressly provided, all references herein to a
"Subsidiary" shall mean a Subsidiary of the Borrower.
"Successor Borrower" shall have the meaning provided in Section 10.3(a).
"Swingline Commitment" shall mean $250,000,000.
"Swingline Lender" shall mean Credit Suisse, in its capacity as lender of Swingline Loans hereunder, or any replacement or successor thereto.
"Swingline Loans" shall have the meaning provided in Section 2.1(c).
"Swingline Maturity Date" shall mean, with respect to any Swingline Loan, the date that is five Business Days prior to the Revolving Credit
Maturity Date.
"Syndication Agent" shall mean Citibank, N.A., together with its Affiliates, as syndication agent for the Lenders under this Agreement and the
other Credit Documents.
"TARGET Day" shall mean any day on which the Trans-European Automated Real-time Gross Settlement Express Transfer (TARGET)
payment system (or, if such payment system ceases to be operative, such other payment system (if any) determined by the Administrative Agent to be a
suitable replacement) is open for the settlement of payments in Euro.
"Taxes" shall mean any and all present or future taxes, duties, levies, imposts, assessments, deductions, withholdings or other similar charges
imposed by any Governmental Authority whether computed on a separate, consolidated, unitary, combined or other basis and any interest, fines, penalties or
additions to tax with respect to the foregoing.
"Term Loan Commitment" shall mean, with respect to each Lender, such Lender's Initial Term Loan Commitment, Delayed Draw Term Loan
Commitment, Euro Tranche Term Loan Commitment and, if applicable, New Term Loan Commitment with respect to any Series.
