Metric 3: Relative Total Shareholder Return ("TSR")
• Definition: Percentage change in the average closing price per share of all available trading days in the 4th quarter of 2014 compared to average closing
price per share of all available trading days in the 4th quarter of 2011, measured against the market capitalization–weighted Russell 3000 Auto Parts Index;
all measures include dividends
• Weight: 20% of Performance-Based RSU Shares granted
• Number of Performance-Based RSU Shares related to the TSR metric ("TSR RSU Shares"): [•]

Total Earned Performance- Based RSU Shares
The total number of Earned Performance-Based RSU Shares shall equal the sum of:
(a) the number of earned RONA RSU Shares,
(b) the number of earned Net Income RSU Shares, and
(c) the number of earned TSR RSU Shares.
