Financial Officer” means the chief financial officer, principal accounting officer, treasurer or assistant treasurer of the Company.
Financials” means the annual or quarterly financial statements, and accompanying certificates and other documents, of the Company and
its Subsidiaries required to be delivered pursuant to Section 5.01(a) or 5.01(b).
Fiscal Quarter” means with respect to the Company and its Subsidiaries, and with respect to any Fiscal Year, (a) each of the quarterly
periods ending 13 calendar weeks, 26 calendar weeks, 39 calendar weeks and 52 or 53 calendar weeks, as the case may be, after the end of the prior Fiscal
Year or (b) such other quarterly periods as the Company shall adopt after giving prior written notice thereof to the Lenders.
Fiscal Year” means with respect to the Company and its Subsidiaries, (a) the 52- or 53-week annual period, as the case may be, ending
on the Saturday nearest to June 30 of each calendar year or (b) such other fiscal year as the Company shall adopt with the prior written consent of the Required
Lenders (which consent shall not be unreasonably withheld). Any designation of a particular Fiscal Year by reference to a calendar year shall mean the Fiscal
Year ending during such calendar year.
Foreign Currencies” means Agreed Currencies other than Dollars.
Foreign Currency LC Exposuremeans, at any time, the sum of (a) the Dollar Amount of the aggregate undrawn and unexpired amount of
all outstanding Foreign Currency Letters of Credit at such time plus (b) the aggregate principal Dollar Amount of all LC Disbursements in respect of Foreign
Currency Letters of Credit that have not yet been reimbursed at such time.
Foreign Currency Letter of Credit” means a Letter of Credit denominated in a Foreign Currency.
Foreign Lender” means (a) if the applicable Borrower is a U.S. Person, a Lender, with respect to such Borrower, that is not a U.S. Person,
and (b) if the applicable Borrower is not a U.S. Person, a Lender, with respect to such Borrower, that is resident or organized under the laws of a jurisdiction
other than that in which the Borrower is resident for tax purposes.
Foreign Plan” means any employee benefit plan (within the meaning of Section 3(3) of ERISA, whether or not subject to ERISA) that is not
subject to United States law and is maintained or contributed to by any Loan Party or any ERISA Affiliate.
Foreign Plan Event” means, with respect to any Foreign Plan, (a) the failure to make or, if applicable, accrue in accordance with normal
accounting practices, any employer or employee contributions required by applicable law or by the terms of such Foreign Plan, (b) the failure to register or loss
of good standing with applicable regulatory authorities of any such Foreign Plan required to be registered, or (c) the failure of any Foreign Plan to comply with
any material provisions of applicable law and regulations or with the material terms of such Foreign Plan.
Foreign Subsidiary” means any Subsidiary which is not a Domestic Subsidiary.
Foreign Subsidiary Borrowermeans any Eligible Foreign Subsidiary that becomes a Foreign Subsidiary Borrower pursuant to
Section 2.23 and that has not ceased to be a Foreign Subsidiary Borrower pursuant to such Section.
