EXPLANATORY NOTE
This Form 10-K/A is filed to amend the Annual Report on Form 10-K of Systemax Inc. (the "Company") for the year
ended December 31, 2004 (the "Original Form 10-K") to reflect the restatement of the Company's Consolidated
Financial Statements for the years ended December 31, 2004, 2003 and 2002 and to restate the Selected Financial Data
and make conforming changes to Item 1. The restatement is described in Note 2 to the Consolidated Financial
Statements accompanying this amendment. In addition, this amendment to our Annual Report on Form 10-K includes
amendments to Item 7, the Management's Discussion and Analysis section. Item 2 of Part 1 was also changed to correct
a typographical error.
Except as expressly noted otherwise, this amendment only makes changes to Items 1 and 2 of Part I, Items 6, 7, 7A and
9A of Part II and Item 15 of Part IV. We have, however, included the Form 10-
K in its entirety (other than exhibits) for
the convenience of the reader. This report continues to speak as of the date of the Original Form 10-K (filed on April
15, 2005) and we have not updated the disclosures in this report to speak to any later date. While this report primarily
relates to the historical period covered, events may have taken place since the date of the Original Form 10-K that
might have been reflected in this report if they had taken place prior to the filing of the Original Form 10-K. All
information contained in this report is subject to updating and supplementing as provided in our periodic reports filed
with the Securities and Exchange Commission.
