Corporate Governance
Inordertoensuretheachievement
ofmanagementobjectives,enhance
competitiveness,andincreasecorporate
value,Casiorecognizesthecritical
importanceofrapiddecision-making,
appropriatebusinessexecution,and
enhancingmanagementsupervisory
functionstoimprovetransparency.Torealize
them,theCompanyhasimplementeda
rangeofmeasures,includingadirector
systemandcorporateauditorsystemwitha
corporateofcersystemandstrengthened
internalauditsystemwiththeaimof
enhancingcorporategovernance.
Casiounderstandsthatsustainable
corporategrowthwillonlycomeabout
withthesustainabledevelopmentofthe
globalcommunity,andisactivelymanaging
itscorporatesocialresponsibility(CSR).
ForCasio,CSRisakeypillarofcorporate
management.
Inanefforttobolsteritsactivitiesin
thisarea,theCompanyestablishedthe
CSROperationsSectioninApril2004to
improveitscompany-wideorganization.
InDecember2004,Casioalsoinaugurated
theCSRCommittee,whichconsistsof
directorsandauditorswiththePresidentas
Chairman.TheCSRCommitteedetermines
thedirectionofcompany-wideCSR
activities,includingbasicpolicyandother
importantmatters,andworkstoenhance
theCompany-wideriskmanagement
system.
Thecompanyalsosoughttoimprove
corporategovernanceandcomplianceby
ensuringthatallemployeesandofcers
understandandcomplywithlawsand
regulations,maintainsocialorder,and
contributetosocietybasedontheCasio
CommonCommitmentandCasioCodeof
Conductpreparedinaccordancewiththe
CharterofCreativityforCasio.
TopublicizetheresultofitsCSR
activities,CasioplanstopublishaCSR
Reportinthecurrentterm.
SinceCasio’sfoundation,its
corporatecreedhasbeen“Creativityand

growthasacompany,increasecorporate
