We have audited the consolidated balance sheet of Ameriprise Financial, Inc. (the Company) as of December 31, 2010,
and the related consolidated statements of operations, equity, and cash flows for each of the two years in the period
ended December 31, 2010, and have issued our report thereon dated February 28, 2011, except for Note 24
(Discontinued Operations), as to which the date is February 24, 2012 (included elsewhere in this Registration Statement).
Our audits also included the financial statement schedule for each of the two years in the period ended December 31,
2010 listed in Item 15(a) of this Annual Report (Form 10-K). This schedule is the responsibility of the Company’s
management. Our responsibility is to express an opinion based on our audits.
In our opinion, the financial statement schedule referred to above, when considered in relation to the basic financial
statements taken as a whole, presents fairly in all material respects the information set forth therein.
As discussed in Note 2 to the financial statement schedule, certain 2010 and 2009 amounts have been retrospectively
adjusted to reclassify the assets, liabilities and results of operations of a certain subsidiary as discontinued operations.
