You are hereby notified that the undersigned consents to (i) being named as a nominee in the notice provided by
Newcastle Partners, L.P. ("Newcastle") of its intention to nominate the undersigned as a director of The ServiceMaster Company
("ServiceMaster") at the 2007 annual meeting of stockholders, or any other meeting of stockholders held in lieu thereof, and any
adjournments, postponements, reschedulings or continuations thereof (the "Annual Meeting"), (ii) being named as a nominee in any
proxy statement filed by Newcastle in connection with the solicitation of proxies or written consents for election of the undersigned
at the Annual Meeting, and (iii) serving as a director of ServiceMaster if elected at the Annual Meeting. In addition, the
undersigned hereby undertakes to affirm his independence under the standard described in Section 7.5 of ServiceMaster's
Certificate of Incorporation at the time of his election to the ServiceMaster Board of Directors. The foregoing assumes that an
Independent Board Majority (as defined in Section 7.5.5 of the Certificate of Incorporation) does not conclude otherwise as
described under clause (iv) of Section 7.5.3 of the Certificate of Incorporation.
