Our board of directors has adopted a written related party transaction approval policy, which sets forth our policies and
procedures for the review, approval or ratification of any transaction required to be reported in our filings with the Securities
and Exchange Commission. Our policy with regard to related party transactions is that all related party transactions are to be
reviewed by our general counsel, who will determine whether the contemplated transaction or arrangement requires the
approval of the board of directors, the nominating and corporate governance committee, both or neither.
