(d) The Parties agree that they have been represented by counsel during the negotiation, preparation and execution of this
Agreement and, therefore no rule of construction providing that ambiguities in an agreement or other document shall be construed
against the Party drafting such agreement or document shall apply to this Agreement.
Section 9.4 Notices. All notices, requests and other communications to any Party hereunder shall be in writing and
sufficient if delivered personally, sent by telecopy (with telephone confirmation of receipt or followed by overnight delivery service)
or by registered or certified mail, postage prepaid, return receipt requested, addressed as follows:
or to such other address or telecopy number as the Party to whom notice is to be given may have furnished to the other Parties in
writing in accordance herewith. Each such notice, request or communication shall be effective when received or, if given by mail,
when delivered at the address specified in this Section 9.4.
