EXPLANATORY NOTE
This Annual Report on Form 10-K is being filed pursuant to the Securities Exchange Act of
1934, as amended (the “Exchange Act”), by Vistaprint N.V., a Dutch limited liability company
(nammlooze vennootschap), as successor to Vistaprint Limited., a company incorporated under the
laws of Bermuda. Pursuant to a scheme of arrangement under Bermuda law described in Part I,
Item 1, “Business — Change of Domicile,” on August 31, 2009 all of the previously outstanding
common shares of Vistaprint Limited were cancelled and each holder of cancelled Vistaprint Limited
common shares received ordinary shares of Vistaprint N.V. As a result of the scheme of arrangement
and share exchange transaction, Vistaprint Limited became a wholly-owned subsidiary of Vistaprint
N.V. Pursuant to Rule 12g-3 under the Exchange Act, Vistaprint N.V. is filing this Annual Report on
Form 10-K, which includes the full fiscal year ended June 30, 2010 including the activity of Vistaprint
Limited before the succession, as the successor issuer for reporting purposes under the
Exchange Act.
