We also own, operate or contract with third parties to operate distribution centers, sales offices and
administrative offices throughout the world in support of our business. We lease our administrative headquarters
and primary research and development facility located in Middleton, Wisconsin and the Hardware & Home
Improvement administrative headquarters in Lake Forest, California.
We believe that our existing facilities are suitable and adequate for our present purposes and that the
productive capacity in such facilities is substantially being utilized or we have plans to utilize it.
ITEM 3. LEGAL PROCEEDINGS
Litigation
We are a defendant in various other matters of litigation generally arising out of the ordinary course of
business.
We do not believe that any other matters or proceedings presently pending will have a material adverse
effect on our results of operations, financial condition, liquidity or cash flows.
Environmental
We have provided for the estimated costs associated with environmental remediation activities at some of
our current and former manufacturing sites. We believe that any additional liability that may result from the
resolution of these matters in excess of the amounts provided of approximately $5.1 million, will not have a
material adverse effect on our financial condition, results of operations or cash flows.
We are subject to various federal, state and local environmental laws and regulations. We believe we are in
substantial compliance with all such environmental laws that are applicable to our operations. See also the
discussion captioned “Governmental Regulations and Environmental Matters” under Item 1 above.
