AMENDMENT TO SEARCH SERVICES AGREEMENT
This Amendment to Search Services Agreement (this “Amendment”) is entered into as of May 11, 2011 (“Amendment Effective Date”
)
by and between Conduit Ltd., a company formed under the laws of Israel (“Conduit”) and Microsoft Online, Inc., a Nevada corporation
(“Microsoft”), a wholly-owned subsidiary of Microsoft Corporation, a Washington corporation.
WHEREAS, Conduit and Microsoft are parties to that certain Search Services Agreement, entered into as of November 19, 2010 (the
“Agreement”); and
WHEREAS, the Parties wish to amend the Agreement as more fully described herein.
NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows:
1. Definitions .
1.1 Sections 1.23 (Event), 1.41 ([***] ), 1.50 ([***] ), 1.59 ([***] ), and 1.63 (Termination
Override Notice) of the Agreement are deleted in their entirety and all references to such defined terms in the Agreement are stricken.
1.2 Section 1.24 of the Agreement is amended and restated in its entirety as follows:
“1.24 “Excess Revenue Share Payment” has the meaning given in Section 4.1.1(d).”
1.3 Section 1.39 of the Agreement is amended and restated in its entirety as follows:
