intended to satisfy, and shall be interpreted and administered in accordance with, the requirements of Code Section 409A and any
Treasury Regulations and other guidance issued thereunder. Furthermore, if the Recipient is a “specified employee” (as defined under the
Health Net, Inc. Specified Employee Policy, or, in the absence of such policy, within the meaning of Code Section 409A) with respect to
the Company at the time of a “separation from service” and the Restricted Stock Units are subject to Code Section 409A and become
distributable as a consequence of such “separation from service,” then the delivery of Common Stock in respect of such Restricted Stock
Units shall be delayed until the earliest date upon which such Common Stock may be delivered to Recipient without being subject to
taxation under Code Section 409A.
