14.15 Construction. Purchaser and Seller agree that the terms and conditions of this Agreement and the other Transaction
Documents are the result of negotiations between the Parties and that this Agreement and the other Transaction Documents shall not
be construed in favor of or against any Party by reason of the extent to which any Party or its professionals participated in the
preparation of this Agreement.
14.16 Bulk Sale. Each of the parties to this Agreement hereby waives compliance with any bulk sales or bulk transfer laws that
are applicable in respect of the transactions contemplated by this Agreement.
